Her work extends from obtaining "501(c)(3)" status and advising on governance, regulatory compliance and fundraising, to negotiating complex transactions.

Ellen’s intellectual property expertise – primarily in copyright – encompasses traditional print and photographic media, digital works, multimedia and software. She advises individuals, nonprofits and business clients seeking to protect their materials and make them more widely accessible to the public, and she guides them in the appropriate use of materials created by others.

Representative Experience

  • Successfully petitioned the IRS to reinstate the tax-exempt status of a large foundation and to waive over $1,000,000 in penalties and fees.
  • Serve as General Counsel to a scientific society dedicated to promoting the growth, use and understanding of metabolomics in the life sciences.
  • Negotiated publishing agreements for prominent academic journals in the life sciences, history, literature, business and religion.
  • Advised clients in the diversity education field, life sciences and commercial publishing on protecting and licensing multimedia products.
  • Established and worked with a US-based nonprofit to support a music academy in The Gambia for low-income youth.
  • Provide General Counsel services to a rare disease research organization working to accelerate the development of and access to new treatments.
  • Counseled non-partisan voter education organization on regulatory compliance, internal employee and intellectual property policies, and risk management.
  • Negotiated cross-licensing agreements between a healthcare institution and a departing clinician for continued use of the clinician’s treatment program.
